    Terms of Service

    These terms set out the agreement between you and Layers Ventures, trading as EMIL AI, for access to the EMIL AI software.

    1. About these terms

    These Terms of Service apply to the EMIL AI website at askemil.xyz, the product at app.askemil.xyz, and related services.

    The service is provided by Layers Ventures, trading as EMIL AI. Layers Ventures is a UK limited company that is not yet incorporated. Before these terms come into force, we will replace the following placeholders with the final company details:

    In these terms, “we”, “us”, and “EMIL AI” mean Layers Ventures trading as EMIL AI. “You” means the person using the service or the organisation that has authorised that person to use it.

    2. What EMIL AI is

    EMIL AI is software for leadership development. It is designed for aspiring managers, first-time managers, and mid-level leaders. It provides AI coaching conversations, leadership micro-lessons, scenario simulations, goal and progress tracking, and document upload for coaching context.

    The service is accessed through the separate product app at app.askemil.xyz. These terms do not transfer ownership of the software or any underlying technology to you.

    Before launch, askemil.xyz offers a voluntary January waitlist. By joining it, you ask us to send occasional launch updates. You can unsubscribe at any time using the link in an email or by contacting us. Joining the waitlist does not create an account, reserve a paid plan, or guarantee access.

    3. Important limits on coaching

    EMIL AI is a software product providing general leadership development guidance. It is not a licensed executive coach, therapist, counsellor, lawyer, HR professional, or financial adviser.

    You must not rely on EMIL AI for medical, mental-health, legal, employment-law, disciplinary, regulatory, tax, or financial decisions. Always seek advice from a suitably qualified professional when the consequences matter.

    AI outputs can be incomplete, incorrect, out of date, or unsuitable for your circumstances. You are responsible for checking outputs and deciding whether and how to act on them. Scenario simulations are practice tools, not predictions or instructions.

    Do not use EMIL AI for emergencies, safeguarding concerns, imminent harm, or urgent workplace disputes. Contact the appropriate emergency, safeguarding, legal, or workplace support service instead.

    4. Accounts and eligibility

    You must provide accurate information when creating an account and keep your login details private. You are responsible for activity carried out through your account. Tell us promptly if you think your account has been accessed without permission.

    You must be at least 18 years old and able to enter a binding contract. If you use EMIL AI for an organisation, you confirm that you have authority to accept these terms for that organisation.

    One person may not share an individual account. We may limit, suspend, or close accounts that are used fraudulently or in breach of these terms.

    5. Plans, trials, and payments

    EMIL AI will offer a permanent free tier and a 7-day trial on paid plans. Paid plans are currently planned as follows:

    UK customers are charged the GBP prices shown above, inclusive of VAT. Teams requires at least three seats. Prices, taxes, and plan benefits are shown at checkout and may be updated for future purchases.

    Paddle is the merchant of record for payments. Paddle will process the transaction, appear on your bank or card statement, handle applicable payment taxes, and provide payment receipts. Paddle’s own terms and privacy information may also apply to the payment transaction.

    Auto-renewal

    Unless you cancel before the next renewal date, a monthly or annual subscription renews for another period of the same length. The payment method you provided will be charged the then-current price shown at renewal. We will provide any notice required by law.

    Cancellation

    You can cancel at any time through the account or billing controls made available to you, or by contacting us. Cancellation stops the next renewal. It normally does not refund the current billing period, and access continues until that period ends. Statutory cancellation rights and our refund policy are explained at /refunds.

    If you start a paid plan through a trial, the plan may begin billing when the trial ends unless you cancel before then. We will show the trial end date and price before you subscribe.

    6. Acceptable use

    You must use EMIL AI lawfully and responsibly. The Acceptable Use Policy forms part of these terms. It includes important restrictions on employee surveillance, disciplinary investigations, confidential information, prompt extraction, and misuse of AI outputs.

    7. Your content and documents

    You retain ownership of the text, documents, and other information you submit. You give us a limited, worldwide licence to host, process, reproduce, and display that content only as needed to provide, secure, support, and improve EMIL AI for you.

    You are responsible for having the right to upload content and for removing confidential or personal information that is not necessary for your coaching. Do not upload another person’s special-category data or confidential information without a lawful basis and appropriate permission.

    We do not use customer content to train external foundation models. AI providers process relevant content only to return the service response, subject to the safeguards described in our Privacy Policy.

    8. Intellectual property

    We own or licence EMIL AI, including its software, prompts, interfaces, design, branding, documentation, and improvements. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, reverse engineer, scrape, sell, or create a competing service from it except where the law does not allow us to restrict that activity.

    Subject to these terms, you may use outputs generated for your account for your own personal or internal business purposes. Outputs may not be unique, and we do not promise that they are free from third-party rights.

    9. Liability

    Nothing in these terms limits or excludes liability that cannot legally be limited or excluded, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or your statutory consumer rights.

    To the fullest extent permitted by law, EMIL AI is provided on an “as available” basis. We do not guarantee uninterrupted availability, error-free outputs, or that the service will meet every leadership objective.

    We are not liable for indirect or consequential loss, loss of profits, loss of opportunity, loss of goodwill, or decisions made based on an AI output. Our total liability arising from a paid subscription is limited to the greater of the fees you paid to us in the 12 months before the event giving rise to the claim or £100. For a free account, our total liability is limited to £100. These limits apply only to the extent permitted by law.

    10. Suspension and termination

    You may stop using the service and close your account at any time. We may suspend or terminate access if you seriously or repeatedly breach these terms, create a security or legal risk, fail to pay, or if we discontinue the service.

    On termination, your right to use the service ends. We may delete account content in line with our retention practices, so download anything you need before closing an account. Clauses that should continue by their nature, including intellectual property, liability, and governing law, will continue.

    11. Changes to these terms

    We may update these terms to reflect changes to the service, law, or business. We will post the new version with a new date and version number. If a change materially affects a paid subscription, we will give reasonable notice and explain any cancellation rights required by law.

    12. Governing law and contact

    These terms and any dispute connected with them are governed by the law of England and Wales. If you are a consumer, you also retain any mandatory rights and may bring a claim in the courts that have jurisdiction under applicable consumer law.
